The Committee on Foreign Investment in the U.S. (CFIUS) reviews certain transactions for the purpose of determining effects on U.S. national security. CFIUS has made headlines in recent years for its review of several high-profile deals (including the acquisition of TikTok). Every transactional lawyer, particularly those involved in cross-border deals, should have a basic understanding of CFIUS. This CLE discusses CFIUS and its review process, regulatory updates, and transactional considerations.
